Welcome to Agendica. These Terms of Service ("Terms") govern your access to and use of the Agendica platform, website, and services ("Services"). Please read them carefully.

1. Using Agendica

Eligibility: You must be at least 16 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are at least 16 years of age.

Your Account: You need an account for most activities on our platform, including creating and interacting with events. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Acceptable Use: You agree not to engage in any of the following prohibited activities:

• Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
• Harassing, threatening, demeaning, or promoting discrimination against others.
• Interfering with or disrupting the functionality of the Services.
• Creating multiple fake accounts.
• Scraping the platform without our written consent.

2. User Content & Events

Your Ownership: Agendica allows you to post content, including event descriptions, profiles, and comments ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to Agendica.

Our License: By posting User Content on or through the Services, you grant Agendica a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, adapt, and display such content solely for the purposes of operating, providing, and promoting the Services.

Event Quality & Accuracy: Organisers are solely responsible for ensuring that their event listings are accurate and lawful. Agendica is a platform facilitator and does not sponsor, endorse, or guarantee the quality of any user-created event.

3. Fees and Payments

Currently, Agendica is provided free of charge. We reserve the right to introduce paid features, subscriptions, or transaction fees in the future. Any changes to our fee structure will be communicated to you clearly and in advance.

4. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of Agendica and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Agendica.

5. Termination

We may terminate or suspend your account and bar access to the Services. For standard terminations, we will provide you with a reasonable notice period and a reason for the termination. However, in cases of severe violations, such as fraud, abuse, or illegal activity, we reserve the right to terminate your account immediately and without prior notice.

If you wish to terminate your account, you may simply discontinue using the Services or manually delete your account from your Profile Settings.

6. Indemnification

You agree to defend, indemnify, and hold harmless Agendica, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or your User Content-including any legal claims related to events you organise through the platform.

7. Force Majeure

Agendica shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, widespread internet outages, or governmental actions.

8. Limitation of Liability

In no event shall Agendica, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services;
• Any conduct or content of any third party on the Services;
• Any content obtained from the Services; and
• Unauthorized access, use or alteration of your transmissions or content.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

11. Severability and Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
